Terms of Service

These Terms and Conditions govern your use of maisonperrin.com and any related services provided by Maison Perrin ("we," "us," "our"). By using the site, you agree to follow these terms and to be bound by them. If you do not agree with any of them, please do not use the site.

Use of the site

This site is intended for personal, non-commercial use by individuals and businesses interested in browsing, considering, or purchasing Maison Perrin's products and services, or otherwise contacting us — including, where applicable, on behalf of an intended gift recipient or a corporate purchaser. You agree to use the site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of it.

You may not use the site, manage an account, or change the preferences of another customer on their behalf without their full knowledge and consent. In particular, you may not unsubscribe, cancel, or modify another customer's settings or contact preferences with us. This is to protect the privacy and autonomy of every person we work with.

User submissions and reviews

If you submit a product review, photograph, comment, or other content to the site — directly, or through a third-party reviews provider we use such as Judge.me — you grant Maison Perrin a non-exclusive, worldwide, royalty-free, perpetual, sublicensable, and transferable license to use, copy, display, modify, and distribute that content in connection with our products, our marketing, and the operation of the site.

You represent that any content you submit is yours to share, is accurate, does not violate any law or any third party's rights, and does not contain anything obscene, defamatory, threatening, or otherwise unlawful. We reserve the right to remove any submitted content at our discretion.

Intellectual property

All content on this site — including page headers, images, illustrations, graphics, photographs, audio and video clips, written text, product descriptions, and the overall design and arrangement of the site (collectively, the "Content") — is the property of Maison Perrin or its licensors, and is protected by copyright, trademark, trade dress, and other intellectual property laws. The selection, arrangement, and enhancement of the Content as a whole is also protected as a collective work under U.S. and other applicable copyright laws.

The Content is provided for your personal, non-commercial use. You may view, download, and print portions of it for your own use only, provided that you:

  1. keep all copyright and trademark notices intact;
  2. do not modify the Content in any way;
  3. do not redistribute, broadcast, or post the Content on any network or platform; and
  4. credit Maison Perrin where appropriate.

No ownership right or title is transferred to you as a result of any download or print — Maison Perrin retains full title and intellectual property rights in any Content you download. Any other use, including reproduction, modification, distribution, transmission, public display, or the creation of derivative works, requires our prior written permission.

Reporting copyright infringement

We respect the intellectual property of others. If you believe that material on our site infringes your copyright, please send a written notice to our designated agent at hello@maisonperrin.com. Pursuant to Section 512 of the U.S. Digital Millennium Copyright Act ("DMCA"), your notice should include:

  1. A description of the copyrighted work you believe has been infringed — or, if multiple works are involved, a representative list of them.
  2. A description of the allegedly infringing material and information reasonably sufficient to allow us to locate it on the site.
  3. Your contact information — full name, mailing address, telephone number, and, if available, an email address.
  4. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.
  6. Your physical or electronic signature.

You acknowledge and agree that, upon receipt of a notice that meets these requirements, we may remove the identified material from the site without liability while the claim is reviewed, in accordance with the DMCA.

Orders and pricing

We do our best to display accurate prices, descriptions, and product details. Mistakes do occasionally happen — if a product is listed at an incorrect price, or if its description contains a material error, we reserve the right to correct the listing and to cancel any orders placed in reliance on the error. In that case, we'll notify you and refund any payment in full.

Placing an order is an offer to buy; we accept the order when we send you confirmation that it has shipped. We reserve the right to limit quantities, refuse orders, or cancel orders at our discretion, including in cases of suspected fraud or resale.

Shipping, returns, and refunds

Our shipping, returns, and refund policies are set out separately on our Shipping policy and Refund policy pages. Those policies are incorporated into these Terms by reference.

Disclaimer

THIS SITE AND ALL CONTENT AVAILABLE ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. THIS INCLUDES, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

BY USING THIS SITE, YOU ACKNOWLEDGE AND AGREE THAT YOUR USE IS AT YOUR OWN RISK, AND THAT MAISON PERRIN AND ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS, AND LICENSORS (COLLECTIVELY, "AFFILIATES") MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF ANY CONTENT ON THE SITE, OR ABOUT THE CONTENT OF ANY THIRD-PARTY SITES OR SERVICES LINKED FROM OR INTEGRATED WITH THE SITE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAISON PERRIN AND ITS AFFILIATES WILL HAVE NO LIABILITY FOR:

(A) ERRORS, MISTAKES, OR INACCURACIES IN ANY CONTENT;
(B) PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR ACCESS TO OR USE OF THE SITE;
(C) UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS, OR OF ANY PERSONAL INFORMATION OR USER DATA STORED ON THEM;
(D) ANY INTERRUPTION OF TRANSMISSION TO OR FROM THE SITE;
(E) ANY BUGS, VIRUSES, OR HARMFUL CODE THAT MAY BE TRANSMITTED THROUGH THE SITE; OR
(F) ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED OR SHARED THROUGH THE SITE.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. To the extent that any such limitation cannot be enforced under applicable law, the scope and duration of any warranty and the extent of our liability will be the minimum permitted under that law.

Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Maison Perrin and its Affiliates from and against any and all claims, damages, costs, and expenses — including reasonable attorneys' fees — arising from or related to your use of the site, including any use of the site in violation of these Terms and Conditions.

Dispute resolution and binding arbitration

Please read this section carefully — it affects your legal rights and limits the way you can bring claims against us.

Agreement to arbitrate

You and Maison Perrin agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the site, or any product or service purchased from us (a "Dispute") will be resolved by binding individual arbitration rather than in court, except for the limited exceptions below. This agreement to arbitrate is governed by the U.S. Federal Arbitration Act.

Exceptions

The following Disputes are not subject to arbitration:

  • Small claims — either party may bring an individual action in small claims court for any Dispute that qualifies, so long as it remains in that court.
  • Intellectual property — either party may seek injunctive or equitable relief in court to protect its intellectual property rights.
  • Public injunctive relief — to the extent required by applicable law (including California's McGill rule), public injunctive relief may be sought in a court of competent jurisdiction.

Arbitration process

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The AAA's rules and a form to begin arbitration are available at www.adr.org. The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Josephine County, Oregon, but you may participate in person, by phone, by video, or by written submission, as permitted under the AAA rules.

The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may award the same individual remedies that a court could award, but may not award relief on behalf of anyone other than the parties to the arbitration.

Each party will pay its own attorneys' fees and costs unless the arbitrator awards them as part of the decision, except that we will pay AAA filing, administration, and arbitrator fees in excess of those you would have paid to file in court, to the extent required by AAA rules and applicable law.

Class action waiver

You and Maison Perrin agree that any Dispute will be brought only in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate the claims of more than one person or preside over any form of class or representative proceeding. If a court or arbitrator determines that this class action waiver is unenforceable as to a particular Dispute, then this entire Dispute Resolution section will be null and void as to that Dispute, and the Dispute will proceed in court under the Governing law and forum section below.

30-day opt-out

You may opt out of this Dispute Resolution section by sending written notice to hello@maisonperrin.com within 30 days of the date you first agreed to these Terms (or, if you are an existing customer, within 30 days of the Effective date of the version of these Terms that introduced this section). Your notice must include your full name, the email address associated with any orders, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

Severability of this section

If any portion of this Dispute Resolution section is found to be unenforceable, the unenforceable portion will be severed and the remainder will remain in effect, except as provided above for the class action waiver.

Governing law and forum

These Terms and Conditions are governed by the laws of the State of Oregon, without regard to its conflict-of-law principles. For any Dispute not subject to the Dispute Resolution section above — for example, an action in small claims court, or an action for injunctive relief to protect intellectual property — you and Maison Perrin agree that the exclusive forum will be the state or federal courts located in Josephine County, Oregon, and you consent to the personal jurisdiction of those courts.

Changes to these terms

We may update these Terms and Conditions from time to time. When we make a material change, we will update the Effective date above. Your continued use of the site after the effective date of any update constitutes your acceptance of the updated terms.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
